These Terms govern your use of the ClickCiti marketplace ("the Platform"). By creating an account or using the Platform you agree to them.

1. The Platform

ClickCiti is an affiliate marketplace connecting vendors (who list offers) with affiliates (who promote them) and buyers. ClickCiti facilitates discovery, tracking, payment processing and commission payouts; it is not the manufacturer or seller of vendor products unless expressly stated.

2. Accounts

  • You must provide accurate information and keep your credentials secure.
  • One person or entity per account unless we agree otherwise.
  • You are responsible for all activity under your account.

3. Vendors

  • You warrant you have the right to sell the products you list and that listings are accurate and lawful.
  • Products and marketing claims must comply with all applicable laws (including Australian Consumer Law and, for health products, TGA/FSANZ requirements). ClickCiti may vet, reject or remove offers.
  • You set commission terms; once a sale is attributed, the agreed commission is owed to the affiliate.

4. Affiliates

  • You promote offers honestly and lawfully. No spam, no misleading or deceptive conduct, no trademark/keyword abuse, no incentivised or fraudulent clicks/sales.
  • Commissions are earned on valid, attributed sales that complete the hold period and are not refunded or charged back.

5. Payments & payouts

  • Buyers pay the full amount via our payment provider. ClickCiti retains a platform fee and remits the balance to vendors and affiliates per the ledger.
  • Payouts are subject to a hold period, minimum threshold, identity/tax verification, and reversal for refunds/chargebacks.

6. Prohibited conduct

Fraud, money laundering, IP infringement, circumventing tracking, manipulating metrics, or any unlawful activity. We may suspend or terminate accounts and withhold tainted funds.

7. Disclaimers & liability

The Platform is provided "as is". To the extent permitted by law (and subject to non-excludable rights under the Australian Consumer Law), ClickCiti excludes implied warranties and limits liability for indirect or consequential loss.

8. Termination

Either party may close an account. Accrued, untainted commissions remain payable subject to verification.

9. Governing law

These Terms are governed by the laws of Australia. _[Confirm state/territory and dispute venue with counsel.]_
